1. Acceptance of Terms
By accessing amzimpact.com or engaging AMZ IMPACT’s services (collectively, “Services”), you (“User” or “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Site.
2. Services Description
AMZ IMPACT provides Amazon marketplace consulting, management tools, and related resources. Specific deliverables are outlined in individual proposals or service agreements (“Statement of Work”).
3. Eligibility
You must be at least 18 years old and have the authority to enter a contract. You agree to provide accurate information and keep your account credentials secure.
4. Intellectual Property
All content on the Site (text, graphics, logos, software) is the property of Primzen LLC or its licensors and protected by law. You receive a limited, non-exclusive, non-transferable license to access the Site for its intended purpose. You may not copy, modify, or distribute content without written permission.
5. User Content
If you submit reviews, files, or other materials (“User Content”):
You grant Primzen LLC a worldwide, royalty-free license to use, reproduce, display, and distribute your User Content in connection with providing Services.
You represent that you own or have rights to the User Content and that it does not infringe any third-party rights or violate laws.
6. Payment & Fees
Fees and payment terms are specified in your Statement of Work. Late payments may incur interest at 1.5% per month (or the maximum permitted by law). All fees are non-refundable unless otherwise stated.
7. Prohibited Uses
You agree not to:
Use the Site for unlawful or fraudulent purposes
Attempt to gain unauthorized access to systems or data
Introduce viruses, malware, or harmful code
Use scraping, data-mining, or other automated methods without our consent
Infringe any intellectual-property or privacy rights
8. Disclaimers
THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PRIMZEN LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We make no guarantee of specific results or uninterrupted access.
9. Limitation of Liability
To the fullest extent permitted by law, Primzen LLC, its officers, employees, and affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages, or loss of profits, data, or goodwill, arising from or related to the Site or Services, even if advised of the possibility. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.
10. Indemnification
You agree to defend, indemnify, and hold harmless Primzen LLC and its affiliates from any claims, damages, or expenses arising out of your use of the Site, violation of these Terms, or infringement of any rights of a third party.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of , without regard to conflicts of law. Any dispute shall be resolved through binding arbitration in USA under the rules of the American Arbitration Association. You waive the right to a jury trial and to participate in class actions.
12. Termination
We may suspend or terminate your access at any time for violation of these Terms or applicable law. Sections 4–11 survive termination.
13. Changes to Terms
We may modify these Terms at any time. Updates take effect when posted on the Site. Continued use after changes constitutes acceptance.
